Legal General Counsel – ESOP & Equity Strategy 

Location: Remote

Hours: Part time (10-20 hours/week)

Contract: Consulting agreement, Equity based

As the Legal General Counsel, you will be responsible for leading and implementing the ESOP program at VendueTech Ltd. You will work closely with internal teams, external legal and tax experts, and senior leadership to establish and manage equity plans, valuations, and secondary share sales. This role requires an individual with a deep understanding of trust structures in Ireland and hands-on experience with ESOPs for both full-time employees and independent contractors. You will also play a crucial role in advising leadership during the company’s VC fundraising efforts toward Series A.

Key Responsibilities:

  • ESOP Program Development & Implementation: Lead the creation, implementation, and ongoing management of an ESOP program for VendueTech Ltd, ensuring alignment with our strategic objectives and growth plans.
  • Trust & Equity Structure Expertise: Provide guidance on Trust structures in Ireland (ESOT), ensuring compliance with local regulations and best practices.
  • Strategic Planning for Equity Programs: Develop and execute strategies for equity compensation, including stock options and grants. Establish valuations for equity awards, and work with financial teams to ensure accurate and fair assessments.
  • Tax & Legal Liaison: Act as a liaison between internal and external tax and legal specialists to ensure compliance with Irish regulations and optimize the equity compensation structure for the company and its employees.
  • ESOP for Independent Contractors: Ensure the ESOP program is designed to accommodate independent contractors, not just full-time employees, providing equity benefits across the workforce.
  • Fundraising & VC Advisory: Advise leadership on structuring equity offerings and optimizing the ESOP for future VC fundraising, specifically guiding the Series A funding path and investor expectations.
  • Policy & Educational Material Creation: Develop internal policies and educational materials to support the ESOP program and ensure all stakeholders (employees, contractors, and investors) understand their roles and benefits.
  • Secondary Share Sales Programs: Plan and establish secondary share sales programs to provide liquidity for shareholders, aligning with VendueTech's strategic goals and the long-term vision of the company.

Requirements:

  • Legal Experience: Qualified solicitor or lawyer with significant experience in Irish corporate law, with a focus on employee equity compensation, trust structures, and venture capital.
  • ESOP Expertise: Proven track record of creating, implementing, and managing ESOPs in Ireland, ideally with experience in working with independent contractors and full-time employees.
  • Tax & Legal Knowledge: In-depth understanding of Irish tax law relating to equity compensation, employee trusts, and company valuations.
  • Experience with VC Fundraising: Solid experience advising on equity matters in preparation for VC fundraising, especially in the context of Series A funding rounds.
  • Excellent Communication Skills: Ability to clearly communicate complex legal and financial concepts to non-legal stakeholders.
  • Proactive & Strategic Thinker: Ability to develop and implement long-term strategies that align with the company’s goals and vision.
  • Collaborative Approach: Experience working in cross-functional teams, particularly with finance, HR, and leadership teams.
